EDGAR Release 26.1

On March 16, 2026, EDGAR Release 26.1 will introduce the following changes:EDGAR Filing Website EDGAR generally will suspend filings rather than issue warnings for incorrect or incomplete structured filing fee-related information for all filers. EDGAR will continue to issue warnings in some instances.The ACH limit for filing fees will change from a maximum of $99,999,999.99 per transaction to $24,999,999.99 per transaction. Filers that need to exceed that limit may make multiple transactions.As of March 24, 2025, Form X-17A-5 Part III no longer requires the oath or affirmation to be notarized. Therefore, the text and checkbox acknowledging notarization of the oath or affirmation have been removed from the submission template for Form X-17A-5 on the EDGAR Filing website and are no longer required in filer constructed submissions.On October 3, 2025, Form 13H, 13H-A and 13H-Q had updates made to Item 6 to allow reordering of entries as well as additions and deletions in the middle of the list per filer preference. The change does not impact the XML technical specifications for Form 13H.XBRL EDGAR will accept the 2026 versions of the following taxonomies:US-GAAP, US-GAAP-EBP, SRT (published by FASB)CEF, COUNTRY, CURRENCY, CYD, DEI, ECD, EXCH, FFD, FND, NAICS, OEF, RXP, SBS, SIC, SNJ, SPAC, SRO, STPR, VIP (published by SEC)See https://www.sec.gov/edgar/information-for-filers/standard-taxonomies for a complete list of supported standard taxonomies. Fee Exhibit Preparation Tool (FEPT) The Fee Exhibit Preparation Tool (FEPT) will no longer display “N/A” in table cells when the “Not Applicable” checkbox is selected. For tables marked “Not Applicable,” FEPT will generate a table which displays populated column and row headers, with empty cells.EDGAR Online Forms Management Website Beginning March 18, 2026, each director or officer of a foreign private issuer that has securities registered under Section 12(b) or 12(g) of the Securities Exchange Act of 1934 (“Exchange Act”) must file reports under Section 16(a) of the Exchange Act, pursuant to the Holding Foreign Insiders Accountable Act (enacted December 18, 2025). Starting March 18, 2026, Forms 3, 4, & 5 will include a Country field requiring a country name for all reporting persons and a field to provide a Foreign Trading Symbol, as well as other technical and conforming changes as detailed in the technical specifications for those forms.Schedules 13D and 13G (including associated submission types) will be updated to accommodate up to 20 CUSIP numbers. At least one CUSIP entry is required.APIs The EDGAR Operational Status API will be updated to reflect two new statuses for degraded EDGAR service both within and after EDGAR operating hours. EDGAR to Suspend Filings for Incorrect or Incomplete Structured Data in Filing Fee Exhibits

Consistent with the Filing Fee Disclosure and Payment Methods Modernization Release (33-10997 (Oct. 13, 2021)), starting on March 16, 2026, EDGAR generally will suspend filings rather than issue warnings for incorrect or incomplete structured filing fee-related information for all filers. EDGAR will continue to issue warnings in some instances.Please consult the EDGAR Filer Manual, the XBRL Guide, and the EDGAR Filing Fee Interface Courtesy Guide for guidance related to this change. On February 2, 2026, EDGAR Release 26.0.1 will introduce the following changes:EDGAR Filing WebsiteEDGAR submission notifications have been updated to replace reference to password expiration with the annual confirmation due date.The inoperable N-CR and N-CR/A links on the EDGARLink Online interface have been removed. Updated Guidance Regarding EDGAR File Size Limits

The EDGAR Business Office announced on Jan. 30, 2026, that updated guidance is available regarding EDGAR file size limits, including information regarding how filers can ensure that their file size meets EDGAR requirements.Filers should be mindful of file size limits — 200 MB (including all attachments) in most instances, although 600 MB for certain specified forms and 800 MB for a combined 10-D/ABS-EE submission.In addition, filers should observe the following:Eliminate repetitive or unnecessary HTML and/or CSS;Do not embed images into HTML using Base64 encoding;Only provide one copy of each unique image in the filing;Compress images in lossy JPG format; andAdd page containers.For questions or further information, please contact Filer Support at (202) 551-8900, option 3.

EDGAR Will Be Closed December 24, 2025 Through December 26, 2025

The Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system will be closed on Wednesday, December 24, 2025 and Friday, December 26, 2025, in addition to Christmas Day, Thursday, December 25, 2025. December 25 is a federal holiday and December 24 and December 26 will be treated as federal holidays for filing purposes.EDGAR will resume normal operations on Monday, December 29, 2025.Please be aware that on December 24, December 25, and December 26, 2025:EDGAR filing websites will not be operational.Filings will not be accepted in EDGAR.EDGAR Filer Support will be closed.Filings required to be made on December 24, December 25, or December 26, 2025 will be considered timely if filed on December 29, 2025, EDGAR’s next operational business day. EDGAR Beta Will Remain Open

The EDGAR Beta environment offered to filers as part of the EDGAR Next implementation will remain open indefinitely (and will not close on December 19, 2025 as previously contemplated) to provide the EDGAR filing community the ability to preview and test all upcoming EDGAR changes.EDGAR quarterly major releases will be deployed in EDGAR Beta approximately two (2) weeks prior to their scheduled deployment in live EDGAR.Other EDGAR releases, including certain bug fixes, may be deployed in EDGAR Beta less than two (2) weeks before deployment in live EDGAR, due to the more urgent nature of those releases.Substantial updates to the SEC’s API ecosystem will be previewed in EDGAR Beta, including but not limited to, changes to API technical specifications, the EDGAR API Development Toolkit, and API usage requirements or policies.The EDGAR Beta Release notes will inform filers of the timing and content of deployments to EDGAR Beta. EDGAR Release 25.3

On October 14, 2025, EDGAR Release 25.3 will introduce the following changes: EDGAR Filing Website Updates for Release 25.3 Form SBSE and Form SBSE-A will now have expanded space for filers to provide the required information in the correct locations as originally contemplated by the forms, and filers will no longer have to file extra exhibits to provide that information. The specific changes will include: The number of arrangements/control persons/financings that may be entered and described in response to the applicable Items in Sections IV, V and VI of Schedule D to Forms SBSE and SBSE/A and in Section II of Schedule B to Forms SBSE-A and SBSE-A/A will be increased to 200 entries. The number of characters that may be entered in the Street Address lines 1 and 2, fields found in Forms SBSE, SBSE/A, SBSE-A, and SBSE-A/A will be increased to 150 characters. However, the number of characters that may be entered for the applicant’s Main and Mailing Address fields in Item 1 of these forms will remain unchanged. Form 13H, and its variants 13H-A and 13H-Q, will have updates made to Item 6 allowing filers to reorder entries, as well as add and delete rows appearing in the middle of the list of entries per filer preference. XBRL Updates for Release 25.3 EDGAR will support an improved SPAC taxonomy version, spac-2025q3, for XBRL filers, in response to filer suggestions. EDGAR will update the validation paragraph of EXG 10.8.2 on ECD taxonomy customization; filers can use any us-gaap, ifrs or srt income concept for Pay-vs-Performance (PvP) net income disclosure. Compliance with EDGAR Next Now Required to File on EDGAR

Compliance with EDGAR Next—the Securities and Exchange Commission’s security, access, and account management improvements to its Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system—is now required to file on EDGAR. To be in compliance, filers must be enrolled in EDGAR Next or have been granted access to EDGAR on or after March 24, 2025. As of today, under EDGAR Next, Access to all three EDGAR filing websites (EDGAR Filer Management, EDGAR Online Forms and EDGAR Filing) requires presentation of Login.gov individual account credentials and completion of multifactor authentication. To file and take actions on the filer’s EDGAR account, individuals must additionally have permissions for the filer as a user or account administrator. The CIK and CCC remain codes required to file on EDGAR. Legacy EDGAR passwords and PMACs have been discontinued. Optional Application Programming Interfaces (APIs) are available to filers for machine-to-machine interaction with EDGAR. Filers that have not yet enrolled in EDGAR Next or been granted access to EDGAR on or after March 24, 2025 must enroll to be able to file on EDGAR. Enrollment remains open until December 19, 2025. “EDGAR Next modernizes EDGAR access and account management and improves the security of the system for filers and the Commission. One Week Until EDGAR Next Compliance Required to File

On Monday, September 15, 2025, to continue filing on EDGAR uninterrupted, filers must be enrolled in EDGAR Next or have been granted access on Form ID on or after March 24, 2025. Filers that have not enrolled or obtained access on Form ID should enroll now! For tips on enrollment, consult the EDGAR July 28, 2025 announcement and the enrollment guidance linked on the EDGAR Next page on SEC.gov. A filer that plans to enroll after September 15, 2025 and prior to the enrollment deadline of December 19, 2025 should ensure it has a current CCC and passphrase to enroll. A filer can reset the CCC or passphrase to ensure it is current by requesting a code be sent to the EDGAR point of contact email address (“EDGAR POC email”). See How Do I Reset the Passphrase and CCC to Enroll (And Avoid the Need to File Form ID). If a filer cannot access its EDGAR POC email, it can update that email until September 12, 2025. As of September 12, 2025, at 10:00pm, filers will be unable to update their EDGAR POC emails. Thus, as of September 15, 2025, if a filer’s CCC and/or passphrase are not current and the filer cannot access the EDGAR POC email, the filer will be unable to reset the CCC and/or passphrase and must submit Form ID to regain access to its EDGAR account. Filers that have enrolled or obtained access on Form ID on or after March 24, 2025 should take these additional actions to ensure a smooth filing experience: (1) Ask the filer’s account administrators to log into the dashboard of the EDGAR Filer Management website and check that filers’ accounts are set up, including, if they choose, by adding individuals who will take actions for the filer and delegating authority to filing agents; and (2) Remind individuals who will take actions on the filer’s behalf on EDGAR to obtain individual account credentials from Login.gov.
