  • Now Available: 2025 Peak Filing Volume Dates for EDGAR Filings

    The SEC expects to receive the highest volume of EDGAR filings in calendar year 2025 on the dates listed on the EDGAR Calendar webpage.   To accommodate potentially longer processing times on high filing volume dates, filers should submit any test or applicable live filings as early as possible prior to the due date of a filing.   Filer Support is available to assist filers Monday through Friday (except federal holidays), from 9:00 a.m. to 5:30 p.m. ET at (202) 551-8900, option 3. Please be aware that filers who contact Filer Support on peak filing dates may experience longer than usual wait times.

  • Corrected: SEC Staff Publishes Draft Taxonomy for Form SHO

    Today, SEC staff published a draft EDGAR Form SHO-specific submission taxonomy related to the SEC’s adoption of new Form SHO. The Form SHO-specific taxonomy comprises the collection of XML Schema Definition (.xsd) filers that defines the structure of the Form SHO submission.  The SEC adopted the Short Position and Short Activity Reporting by Institutional Investment Managers rule and form changes on October 13, 2023 to require certain institutional investment managers that meet or exceed specified reporting thresholds to report, on a monthly basis, short position data and short activity data for equity securities using new Form SHO. The first reporting month is January 2025. The first Form SHO filings are due within 14 calendar days after the end of the reporting month.

  • SEC Adopts EDGAR Next Improvements to Filer Access and Account Management

    The EDGAR Business Office (EBO) is available to assist filers prepare, enroll, and make a successful transition to the EDGAR Next rule and form amendments to filer access and account management, adopted by the SEC on September 27, 2024. A public Adopting Beta environment reflecting the rule and form amendments, technical changes, and 15 optional application programming interfaces (APIs) will be open for testing on September 30, 2024.   • EDGAR Release 24.3

    On September 16, 2024, EDGAR Release 24.3 will introduce the following changes: EDGAR Filing Website Updates for Release 24.3 On Jan. 24, 2024, the SEC adopted rules related to initial public offerings by special purpose acquisition companies ("SPACs") and subsequent business combination transactions between SPACs and private operating companies ("de-SPAC transactions"). Under the rules, the private operating company in a de-SPAC transaction would be, in some instances, a co-registrant for purposes of the registration statement filed in connection with the de-SPAC transaction. EDGAR will be updated to permit co-registrants in a draft registration statement submission. See Special Purpose Acquisition Companies, Shell Companies, and Projections, Release No. 33-11265 (Jan. 24, 2024). See also Chapter 7 of the EDGAR Filer Manual, Vol. II. The "Request Return of Unused Funds" webpage on the EDGAR Filing Website will be updated to remove the current "Check" refund payment method. Filers may now request a return of unused account funds via "ACH" or "WIRE". Filers located in the United States or using a US Bank which supports ACH must select "ACH Payment". Alternatively, filers who are located internationally or using a bank that does not support ACH must select "WIRE Payment." Filers are responsible for any WIRE fees charged by their financial institution. EDGARLink Online Updates for Release 24.3 EDGAR will be updated to allow registered security-based swap execution facilities (SBSEFs) to file chief compliance officer reports and financial resource reports using Inline XBRL. Chief compliance officer reports and amendments will be filed as SBSEF-CCO-RPT and SBSEF-CCO-RPT/A submissions, respectively. Quarterly financial resource reports and amendments, and financial resource reports pursuant to Commission requests and amendments will be filed as SBSEF-FIN-QTR, SBSEF-FIN-QTR/A, SBSEF-FIN-REQ, and SBSEF-FIN-REQ/A submissions, respectively. See Security Based Swap Execution and Registration of Security-Based Swap Execution Facilities, Release No. 34-98845 (Nov. 2, 2023).     On July 1, 2024, EDGAR Release 24.2 will introduce the following changes: EDGARLink Online Updates The "EDGARLink Online XML Technical Specifications" document will be updated to remove submission types F-SR and F-SR/A, along with their descriptions, from Table 1-3. Section 3.4.6 has been updated to remove elements of the submission types F-SR and F-SR/A, along with the types of the fields in the Co Reg schema. xsd and eis_Common.xsd schemas have been updated to remove F-SR and F-SR/A submission types. The "EDGARLink Online XML Technical Specifications" document will be updated to add EX-99 to the DOCUMENT_TYPE table. The "EDGARLink Online XML Technical Specifications" document will be updated to add sample JSON and Inline XBRL files for the test cases documented in the "EDGAR Filing Fee Test Cases for Filers" guide and included in the "EDGARLink Online Sample files" folder within the EDGARLink Online Technical Specifications zip file. These samples serve as examples to assist filers in preparation of their own filing fee exhibits. Filing fee exhibits may be constructed in a structured Inline XBRL format via an Online Tool, the Fee Exhibit Preparation Tool (FEPT), or filer-constructed Inline XBRL fee exhibits. For more information, please refer to the EDGAR Filing Fee Interface Guide and the EDGAR XBRL Guide. EDGAR Filing Website Updates EDGAR will allow filers to submit forms to apply for registration with the Commission as a security-based swap execution facility (Form SBSEF) under 17 CFR 242.803, to amend an application prior to full registration (Form SBSEF/A), to request to withdraw a pending application for registration (Form SBSEF-W), and to request to vacate an effective registration (Form SBSEF-V). Filers will be able to file Form SBSEF and certain of its related exhibits in custom XML, Inline XBRL, and PDF formats as provided in the Regulation SE adopting release. See Security-Based Swap Execution and Registration and Regulation of Security-Based Swap Execution Facilities, Release No. 34-98845 (Nov. 2, 2023). Forms SBSEF, SBSEF/A, SBSEF-W, and SBSEF-V may be filed using the new online form available on the EDGAR Filing website (see Chapter 8 of the EDGAR Filer Manual, Volume II) or constructed by filers according to the new "EDGAR Form SBSEF Technical Specification" document available on https://www.sec.gov/edgar/filer-information/current-edgar-technical-specifications. EDGAR will be updated to allow filers to attach any report, opinion, or appraisal required to be filed as an exhibit under Item 1607 of Regulation S-K as exhibit EX-98 to EDGAR submission variants of Forms S-1, S-4, F-1, F-4, and Schedules TO, 14A, and 14C. XBRL Updates EDGAR was updated to enable filers to use the 2024 IFRS Taxonomy in EDGAR filings. In addition, the US GAAP/2022 , SRT-2022, IFRS-2022 Taxonomies have been removed from EDGAR.
