EDGAR Filers—Have You Enrolled in EDGAR Next?

Enroll in EDGAR Next—the SEC’s changes to filer access and account management—now, before the upcoming September 15, 2025 compliance date, to ensure you can continue filing on EDGAR without interruption. SEC staff is providing multiple resources to assist filers in the transition to EDGAR Next. Visit the EDGAR Next webpage on SEC.gov for user-friendly guidance, including step-by-step enrollment instructions and a link to the Enrolling in EDGAR Next video. To enroll, filers need a current EDGAR passphrase and CCC that has been reset since September 2019. If you are unsure whether the filer’s passphrase or CCC have been reset since September 2019, consult How Do I Update the Passphrase and CCC to Enroll (and Avoid the Need to Submit Form ID). A filer whose Form ID application for access has been granted by SEC staff on or after March 24, 2025 is considered in compliance with EDGAR Next and does not need to enroll. After September 12, 2025, filers may continue to enroll until December 19, 2025, but they will not be able to file until they enroll.

EDGAR Release 25.2

On June 16, 2025, EDGAR Release 25.2 will introduce the following changes: EDGAR Filing Website Updates for Release 25.2 On August 28, 2024, the Commission adopted Form N-PORT and Form N-CEN Reporting; Guidance on Open-End Fund Liquidity Risk Management Programs (IC-35308). The following changes will be made to the Form N-CEN schema and online application to permit filers to comply with the new requirements: Addition of new Item C.22 Liquidity Classification Services. Addition of new RSSD ID and other identifying number fields throughout the Form. Previously, certain LEI fields on the Form permitted filers to report either an LEI, RSSD ID, or, in some cases, other identifying number in the same field. This release separates LEI, RSSD ID, and other identifying number into different fields. The specific items that will be modified are: B.16.a.iv, B.17.c, C.5.b.ii, C.6.c.ii, C.6.c.v.2, C.6.d.ii, C.9.a.iv, C.9.b.iv, C.9.c.iv, C.9.d.iv, C.10.a.iii, C.11.a.ii, C.12.a.ii, C.13.a.ii, C.14.a.ii, C.15.d, C.16.a.iv, C.17.a.iv, D.12.a.iv, D.12.b.iv, D.12.c.iv, D.12.d.iv, D.13.a.iii, D.14.a.ii, E.2.d, F.1.c, F.2.a.ii, and F.4.c. Important Note on LEI field validation and future validation changes: At this time, EDGAR will not be enforcing field length validations for the LEI field. This will enable filers to continue to upload and submit submissions according to their current process without generating an error message. Beginning on November 17, 2025, however, filers will be expected to report the appropriate identifier in the appropriate field and EDGAR will enforce specific validations for each of these fields when an entry is provided. LEI will require a 20-character alphanumeric response or "N/A". RSSD ID will require a numerical response of up to 10 digits or "N/A". Other identifying numbers will be limited to 100 characters but also will require the filer to provide a description of up to 500 characters. Submissions with entries that do not meet these criteria will not be accepted. EDGAR will be updated to include pop-up messages on Form MA, MA-A and MA/A for Items 1.E.(1) and 1.E.(3) if the user denotes an address as a private residence in those items. The messages will include information for the convenience of the filer denoting how to remove certain address information from their public EDGAR profile. The change will not otherwise alter the functionality or requirements of those submission types. EDGARLink Online Updates for Release 25.2 The EDGARLink Online interface will remove the inoperable links to the following submission types: N-PX and N-PX/A. Since July 1, 2024, filers have been required to make these submissions in a structured format created by either using the online version available on the EDGAR Filing Website or constructed by filers according to the "EDGAR Form N-PX XML Technical Specification" document. Select references to Form N-PX and its variants will be removed from EDGAR Filer Manual Volume II: Chapter 7 Preparing and Transmitting EDGARLink Online Submissions.. XBRL Updates for Release 25.2 EDGAR will be updated to support the IFRS 2025 Taxonomy. Additionally, the following taxonomies are now disallowed: US GAAP/2023, SRT/2023, IFRS/2023; and the 2023 version of CEF, COUNTRY, CURRENCY, DEI, ECD, EXCH, FND, NAICS, OEF, RR, RXP, SIC, SNJ, STPR, VIP taxonomies. Fee Exhibit Preparation Tool (FEPT) for Release 25.2 The Fee Exhibit Preparation Tool (FEPT) will be updated to include an informational text block to the Table 1 section for certain forms, schedules, or statements where either "General Instructions II.H / II.I" or "Combine with Rule 457(f)" applies. This text will specify where underlying calculation information will appear in relation to an offering line and is designed to provide greater transparency into existing functionality. This update is purely informational and will introduce no changes to existing functionality Tech Spec Updates for Release 25.2 The schema file eis_NCEN_Filer will be updated. Make Sure Passphrase and CCC Are Current to Enroll in EDGAR Next

Are you unsure if the filer’s passphrase and CIK confirmation code (CCC) are current so it can enroll in EDGAR Next? Can’t find the filer’s passphrase and/or CCC that it needs to enroll? Follow the steps in How Do I Update the Passphrase and CCC to Enroll (and Avoid the Need to Submit Form ID) to be certain that the filer has a current passphrase and CCC to take advantage of the straightforward EDGAR Next enrollment process. And avoid the additional work required to submit Form ID! Among the key points: Passphrases and CCCs created prior to September 2019 are not considered current and cannot be used to enroll. You can ensure the filer’s passphrase and CCC are current—without changing them—by inputting the same codes in the relevant place on the EDGAR Filer Management website. EDGAR Release 25.1.1

On March 24, 2025, EDGAR Release 25.1.1 will introduce the following changes: Pursuant to EDGAR Filer Access and Account Management, Release No. 33-11313 (“EDGAR Next”) (adopted September 27, 2024): The EDGAR Filer Management dashboard (“dashboard”) is implemented; The EDGAR access process for asset-backed security issuing entities is moved from the "Retrieve/Edit Data" section of the EDGAR Filing and EDGAR OnlineForms websites to the dashboard; and Optional Application Programming Interfaces are available in EDGAR for filers that have enrolled in EDGAR Next EDGAR Next guidance related to these changes are denoted in this EDGAR Filer Manual, Vol. I (Version 42) and Vol. II (Version 74). EDGAR Next Enrollment Begins Today

EDGAR filers may begin to enroll in the EDGAR Next improvements to filer access and account management today. Filers should enroll on the dashboard of the new EDGAR Filer Management website on or before September 12, 2025 to avoid interruption in the ability to file. Enrollment ends December 19, 2025. Filers may continue filing on the EDGAR filing websites through September 12, 2025 as they do currently. In addition, the enhanced Form ID application for access to file on EDGAR is available on the dashboard of the new EDGAR Filer Management website. Entities and individuals that require access to file on EDGAR should complete and submit the Form ID application on the dashboard. Filers that enroll in EDGAR Next (or whose Form ID is granted on or after today) have the option to file and take actions on EDGAR through new application programming interfaces (APIs), greatly enhancing the efficiency of filers’ interaction with the system. Transition to EDGAR Next Begins March 24, 2025

Transition to the SEC’s EDGAR Next changes to EDGAR filer access and account management begins in one week, on Monday, March 24, 2025, when the new EDGAR Filer Management website will go live and enrollment will open. Filers have six months, through September 12, 2025, within which to enroll to avoid interruption in the ability to file. Enrollment ends December 19, 2025. Filers may continue to file on the existing EDGAR Filing and Online Forms websites in the same way they do now through September 12, 2025. In addition, as of March 24, 2025, entities and individuals seeking access to file on EDGAR should complete the improved Form ID application for access on the dashboard of the new EDGAR Filer Management website. What’s needed to enroll in EDGAR Next? Access to the dashboard on the EDGAR Filer Management website will require Login.gov individual account credentials and multifactor authentication. Filers need a current EDGAR passphrase and CCC (CIK confirmation code) to enroll. How Do I Enroll in EDGAR Next and the Enrolling in EDGAR Next instructional video provide further information about the enrollment process and requirements. SEC staff is providing EDGAR filers with multiple resources to assist in the transition to EDGAR Next. EDGAR Release 25.1

On March 17, 2025, EDGAR Release 25.1 will introduce the following changes: EDGAR Filing Website Updates for Release 25.1 The Form N-PORT schema for Item B.11.a has been modified to replace the <definitionofTerms> tag with two new tags so that information can be presented in more usable pieces. The new tag names are <term> and <definitionofTerm>. EDGAR will be updated to facilitate the dissemination of a monthly report containing an aggregation of short sale-related data reported in Form SHO. Aggregated reports will be published starting in 2026. Aggregated reports for periods in 2025 will not be disseminated in light of the extension granted for compliance with Exchange Act Rule 13f-2 and Form SHO reporting provided in Release No. 34-102380, Order Granting Temporary Exemption Pursuant to Section 13(f)(3) of the Securities Exchange Act of 1934 from Compliance with Rule 13f-2 and Form SHO, dated February 7, 2025. EDGARLink Online Updates for Release 25.1 In January 2024, the Commission adopted new rules and form amendments applicable to initial public offerings by special purpose acquisition companies (SPACs) and in subsequent business combination transactions between SPACs and target companies. Beginning on June 30, 2025, registrants must tag disclosure required under the final rules in Inline XBRL. EDGAR is being updated to support compliance with the tagging requirements. See Special Purpose Acquisition Companies, Shell Companies, and Projections, Release No. 33-11265 (Jan. 24, 2024). XBRL Updates for Release 25.1 EDGAR will accept the 2025 versions of the following taxonomies: US-GAAP, US-GAAP-EBP, SRT (published by FASB) CEF, COUNTRY, CURRENCY, CYD, DEI, ECD, EXCH, FFD, FND, NAICS, OEF, RXP, SBS, SIC, SNJ, SPAC, SRO, STPR, VIP (published by SEC) See https://www.sec.gov/edgar/information-for-filers/standard-taxonomies for a complete list of supported standard taxonomies. EDGAR will accept validations based on FASB's 2025 XBRL US Data Quality Committee Rules Taxonomy (DQCRT). Fee Exhibit Preparation Tool (FEPT) Fee Exhibit Preparation Tool (FEPT) will be updated with the following changes: The Help text for all Date fields on FEPT will be modified to replace the existing line: "Date formats entered will be converted to the EDGAR preferred yyyy-mm-dd format." to the following: "Dates entered in this field will be converted to the yyyy-mm-dd format in the underlying Inline XBRL data. However, the presentation of the date when viewed in a browser will be shown in the mm/dd/yyyy format." The FEPT was updated to clarify for the purposes of carry forward, offset, combined prospectus, and fees previously paid validations, EDGAR used the "Filing Date" of a prior submission and not the "Period" date tag in the underlying Inline XBRL data. Update for Fee-Related EDGAR Filings Submitted after 5:30 p.m. ET

Effective April 14, 2025, fee-related filings received after 5:30 p.m. ET but before 10:00 p.m. ET will receive notifications and be accepted that same day if they pass validation checks, but will continue to receive a filing date that corresponds to the next business day. The following submission types—F-1MEF, F-3MEF, F-4MEF, N-14MEF, N-2MEF, S-11MEF, S-1MEF, S-3MEF, S-4MEF, S-BMEF—will not be impacted by this change and will continue to receive a filing date identical to the receipt date. Small Entity Compliance Guide Now Available for EDGAR Next

A Small Entity Compliance Guide is now available to assist small businesses in understanding and complying with recent rule and form amendments that enhance the security of the SEC’s Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system and improve filers’ access and account management capabilities—known collectively as EDGAR Next. EDGAR Next applies to all those who submit filings electronically on EDGAR, including entities (such as issuers and filing agents) and individuals (such as officers and directors subject to the requirements of Section 16 of the Securities Exchange Act of 1934). Among the topics the guide addresses are: Compliance dates. The requirement to present individual account credentials and complete multifactor authentication. The new EDGAR Filer Management website dashboard. The improved “Form ID” application for EDGAR access. EDGAR’s addition of optional application programming interfaces (APIs). The transition to EDGAR Next begins March 24, 2025, when the new EDGAR Filer Management website and dashboard go live. Filers have six months, through September 12, 2025, within which to enroll and continue to file uninterrupted on EDGAR. Filers then have three months, through December 19, 2025, within which to enroll and thereafter make EDGAR filings.
