EDGAR Release 25.1

On March 17, 2025, EDGAR Release 25.1 will introduce the following changes: EDGAR Filing Website Updates for Release 25.1 The Form N-PORT schema for Item B.11.a has been modified to replace the <definitionofTerms> tag with two new tags so that information can be presented in more usable pieces. The new tag names are <term> and <definitionofTerm>. EDGAR will be updated to facilitate the dissemination of a monthly report containing an aggregation of short sale-related data reported in Form SHO. Aggregated reports will be published starting in 2026. Aggregated reports for periods in 2025 will not be disseminated in light of the extension granted for compliance with Exchange Act Rule 13f-2 and Form SHO reporting provided in Release No. 34-102380, Order Granting Temporary Exemption Pursuant to Section 13(f)(3) of the Securities Exchange Act of 1934 from Compliance with Rule 13f-2 and Form SHO, dated February 7, 2025. EDGARLink Online Updates for Release 25.1 In January 2024, the Commission adopted new rules and form amendments applicable to initial public offerings by special purpose acquisition companies (SPACs) and in subsequent business combination transactions between SPACs and target companies. Beginning on June 30, 2025, registrants must tag disclosure required under the final rules in Inline XBRL. EDGAR is being updated to support compliance with the tagging requirements. See Special Purpose Acquisition Companies, Shell Companies, and Projections, Release No. 33-11265 (Jan. 24, 2024). XBRL Updates for Release 25.1 EDGAR will accept the 2025 versions of the following taxonomies: US-GAAP, US-GAAP-EBP, SRT (published by FASB) CEF, COUNTRY, CURRENCY, CYD, DEI, ECD, EXCH, FFD, FND, NAICS, OEF, RXP, SBS, SIC, SNJ, SPAC, SRO, STPR, VIP (published by SEC) See https://www.sec.gov/edgar/information-for-filers/standard-taxonomies for a complete list of supported standard taxonomies. EDGAR will accept validations based on FASB's 2025 XBRL US Data Quality Committee Rules Taxonomy (DQCRT). Fee Exhibit Preparation Tool (FEPT) Fee Exhibit Preparation Tool (FEPT) will be updated with the following changes: The Help text for all Date fields on FEPT will be modified to replace the existing line: "Date formats entered will be converted to the EDGAR preferred yyyy-mm-dd format." to the following: "Dates entered in this field will be converted to the yyyy-mm-dd format in the underlying Inline XBRL data. However, the presentation of the date when viewed in a browser will be shown in the mm/dd/yyyy format." The FEPT was updated to clarify for the purposes of carry forward, offset, combined prospectus, and fees previously paid validations, EDGAR used the "Filing Date" of a prior submission and not the "Period" date tag in the underlying Inline XBRL data. Update for Fee-Related EDGAR Filings Submitted after 5:30 p.m. ET

Effective April 14, 2025, fee-related filings received after 5:30 p.m. ET but before 10:00 p.m. ET will receive notifications and be accepted that same day if they pass validation checks, but will continue to receive a filing date that corresponds to the next business day. The following submission types—F-1MEF, F-3MEF, F-4MEF, N-14MEF, N-2MEF, S-11MEF, S-1MEF, S-3MEF, S-4MEF, S-BMEF—will not be impacted by this change and will continue to receive a filing date identical to the receipt date. Small Entity Compliance Guide Now Available for EDGAR Next

A Small Entity Compliance Guide is now available to assist small businesses in understanding and complying with recent rule and form amendments that enhance the security of the SEC’s Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system and improve filers’ access and account management capabilities—known collectively as EDGAR Next. EDGAR Next applies to all those who submit filings electronically on EDGAR, including entities (such as issuers and filing agents) and individuals (such as officers and directors subject to the requirements of Section 16 of the Securities Exchange Act of 1934). Among the topics the guide addresses are: Compliance dates. The requirement to present individual account credentials and complete multifactor authentication. The new EDGAR Filer Management website dashboard. The improved “Form ID” application for EDGAR access. EDGAR’s addition of optional application programming interfaces (APIs). The transition to EDGAR Next begins March 24, 2025, when the new EDGAR Filer Management website and dashboard go live. Filers have six months, through September 12, 2025, within which to enroll and continue to file uninterrupted on EDGAR. Filers then have three months, through December 19, 2025, within which to enroll and thereafter make EDGAR filings. The Small Entity Compliance Guide supplements the wealth of resources already available to assist filers on the SEC’s EDGAR Next page. These resources include a series of instructional videos and recorded webinars, “How Do I” guides that explain how to Obtain Login.gov Individual Account Credentials and Enroll in EDGAR Next, and answers to a set of Frequently Asked Questions. The SEC is happy to assist small companies and others with questions regarding the EDGAR Next rule and form amendments. SEC staff has answers to your questions about EDGAR Next—the SEC’s changes to EDGAR filer access and account management—on our dedicated EDGAR Next webpage on SEC.gov! As a reminder: Filers can start to enroll on March 24, 2025. Filers have six months, through September 12, 2025, within which to enroll and continue to file uninterrupted on EDGAR. All filers may continue to file on EDGAR on the existing EDGAR Filing and Online Forms websites in the same way they do now through September 12, 2025. Filers must enroll on the live EDGAR Filer Management dashboard, NOT in the Beta testing environment. A power of attorney does NOT need to be presented to SEC staff to enroll. Filers should NOT use fake or non-existent email addresses to test in Beta, enroll, or make filings on live EDGAR. Prospective filers and filers that have lost access to their EDGAR accounts must apply for access on Form ID on the dashboard beginning March 24, 2025. Enrolled filers and filers whose Form ID applications are granted on or after March 24, 2025 may use the new APIs to file on EDGAR, retrieve information from the system, and manage their filer accounts. Prepare for EDGAR Next: Transition Begins in One Month

On March 24, 2025, in accord with the SEC’s adopted EDGAR Next rule and form changes to EDGAR filer access and account management, the new EDGAR Filer Management website and dashboard will go live and will require Login.gov individual account credentials and multifactor authentication. Amended Form ID will be effective and available on the dashboard. Enrollment will open and be available on the dashboard. Filers need a current passphrase and CIK confirmation code (CCC) to enroll. Filers who have not reset their passphrase or CCC since September 2019 should obtain a new passphrase and a new CCC. SEC staff is supporting filers’ transition to EDGAR Next in multiple ways: A dedicated EDGAR Next webpage providing a wealth of resources. EDGAR Next webinars (slides and recordings are available). Instructional videos. “How Do I” guides including Obtain Login.gov Individual Account Credentials and Enroll in EDGAR Next. Frequently Asked Questions. New Filing Fee Fedwire Payment Format in EDGAR Rescheduled to July 14, 2025.

The Federal Reserve Bank Fedwire Funds service will transition to the ISO 20022 message format on July 14, 2025. The old Fedwire Application Interface Manual (FAIM) format will be retired on July 13, 2025. The Fedwire payment instructions for filing fee registrants found on SEC.gov will be updated with the implementation of the new format. Need EDGAR Access to File Before EDGAR Next Goes Live on March 24, 2025? Apply Now!

Entities and individuals that do not have EDGAR access and anticipate the need to file on EDGAR in the coming weeks should apply for access on Form ID on the EDGAR Filer Management website as soon as possible. SEC staff may require more than the current minimum processing time of two business days to review Form ID applications, due to an anticipated increase in the volume of applications preceding the EDGAR Next rulemaking transition that begins March 24, 2025. Filers should plan accordingly. If a Form ID application is not granted by SEC staff by 10 p.m., Friday, March 21, 2025, EDGAR will suspend it. Applicants whose Form IDs are suspended must re-apply for access on or after Monday, March 24, 2025. Beginning Monday, March 24, 2025, applicants for EDGAR access must complete and submit Form ID as amended by the EDGAR Next rulemaking on the dashboard of the new EDGAR Filer Management website. Individuals must present individual account credentials from Login.gov to access the dashboard and complete Form ID. SEC staff seeks to minimize disruptions that filers may experience during the transition to EDGAR Next.
