  • EDGAR Release 23.1

    On March 20, 2023 EDGAR Release 23.1 will introduce the following changes: On December 14, 2022, as part of Release 33-11138, the Commission adopted Items 402(x) and 408 of Regulation S-K, and Item 16J of Form 20-F, and required them to be tagged in iXBRL. The ECD taxonomy has been updated to address the new tagging requirements. The Release added Item 601(b)(19), which creates an exhibit for issuers to file a copy of their insider trading policies and procedures as new Exhibit 19 for submission types 10-K, 10-KT, 10-K/A and 10-KT/A. Finally, Forms 4 and 5 have been updated to include a new checkbox to allow filers to identify whether the reported transaction was subject to a contract, instruction or written plan intended to meet the conditions of Rule 10b5-1(c). Forms 144 and 144/A will be included among the submission types that can be submitted, accepted, and disseminated until 10:00P.M. Eastern time. Consequently, if the Form 144 is received on a business day (from 6:00A.M. to 10:00P.M. Eastern time), the filing date will be the date it is submitted. See Chapter 3 (Index to Forms) of the EDGAR Filer Manual, Volume II: “EDGAR Filing.” EDGAR will be updated to support the 2023 versions of the following taxonomies: US-GAAP, SRT (published by FASB) CEF, COUNTRY, CURRENCY, DEI, ECD, EXCH, NAICS, RR, SIC, STPR, VIP (published by SEC). EDGAR will update its presentation link validations for the CEF taxonomy to disallow custom parent-child arcs with a CEF element as source or target only for Form N-2, and adds elements “ClassOfStockDomain”, “DebtInstrumentDomainName” and parent-child descendants thereof to the list of standard namespace elements allowed in custom parent-child arcs in role http://xbrl.sec.gov/cef/role/N2. EDGAR will be updated to remove references to previous versions of the DEI taxonomy that are obsolete. See Chapter 6 (Interactive Data) of the “EDGAR Filer Manual, Volume II: “EDGAR Filing.” The EDGAR Filer Manual has been revised to address software changes made previously in EDGAR: On January 3, 2023, EDGAR Release 22.4.1 introduced the following change in addition to those previously described as part of 22.4.1 in the December 2022 EDGAR Filer Manual Volume II (Version 64): A new “Is this a de novo request?” radio button was added to the “Filer Information” page for form type 13F-CTR/A.   • Reminder—Affected filers must comply with the Form 144 electronic filing requirement beginning April 13, 2023

    Pursuant to recent SEC amendments, certain Form 144 filings must be made on the SEC’s Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system. By April 13, 2023, affected filers must have transitioned from paper to electronic filing of Form 144. During this transition period, affected filers must ensure that they have an EDGAR account.  The electronic filing requirement applies to all Form 144 filings, except for reports related to securities of issuers that do not file 1934 Act reports with the SEC on EDGAR.   Apply for an EDGAR account Reporting persons who do not have EDGAR accounts should apply for access to EDGAR as soon as possible, and well before compliance is required on April 13, 2023. Applications are not automatically granted and staff may have questions about your application.   • EDGAR Release 22.4.1

    On January 3, 2023, EDGAR Release 22.4.1 will introduce the following changes to online Form 13F: Table 3.4 has been updated to include new “crdNumber” and “secFileNumber” elements to the 13F Submission Schemas.  Table 3.4 has been updated to increase size of the element “tableValueTotal” to 16 digits.  The eis_13F_Filer.xsd schema file has been updated to add new elements “crdNumber” and “secFileNumber” to the Cover and Summary page sections.  Table 3.4 and section 5.2 have been updated to add optional “FIGI” to the Information table.  Table 3.4 has been updated to increase size of the element “value” to 16 digits.  The eis_13FDocument.xsd schema file has been updated to add new element “FIGI”.  The eis_13FDocument.xsd schema file has been updated to update size of the element “value” to 16 digits.  The Appendix B section has been updated to add “crdNumber”, “secFileNumber”,”denovoRequest” and “FIGI” to the XML Element Name table.  The Appendix B section has been updated to change “value” from thousand to the nearest dollar.  The eis_13F_Filer.xsd and table 3.4 have been updated to add “denovoRequest” for Submission form type 13F-CTR/A.    For further information, please refer to the “EDGAR Form 13F XML Technical Specification” document available on https://www.sec.gov/edgar/filer-information/current-edgar-technical-specifications.

  • EDGAR Will Be Closed Monday, December 26, 2022 and Monday, January 2, 2023

    The Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system will be closed on both Monday, December 26, 2022 and Monday, January 2, 2023. Both days will be treated as federal holidays for filing purposes, and the federal government will be closed on both days. EDGAR will maintain normal operations starting 6 a.m. ET Tuesday, December 27, 2022 through Friday, December 30, 2022 10 p.m. ET. Please be aware that on December 26, 2022 and January 2, 2023: EDGAR filing websites will not be operational. Filings will not be accepted in EDGAR. EDGAR Filer Support will not be available. Filings required to be made on Monday, December 26 will be considered timely if filed on December 27, 2022 or before December 26, 2022. December 27, 2022 is EDGAR’s next operational business day following the December 26, 2022 closure.   Filings required to be made on Monday, January 2, 2023 will be considered timely if filed on January 3, 2023 or before January 2, 2023. January 3, 2023 is EDGAR’s next operational business day after the January 2 closure. Filers should plan their filings accordingly.   • Now Available: 2023 Peak Filing Volume Dates for EDGAR Filings

    The SEC expects to receive the highest volume of EDGAR filings in calendar year 2023 on the dates listed on the EDGAR Calendar webpage. To accommodate potentially longer processing times on high filing volume dates, filers should submit any test or applicable live filings as early as possible prior to the due date of a filing.   • Form 144 electronic filing compliance date is April 13, 2023

  • EDGAR Release 22.3.1

    On October 17, 2022, EDGAR Release 22.3.1 will introduce the following changes to the online fillable Form 144: Increase the maximum number element sets allowed for "" and "" from 20 to 40. Increase the maximum number sets allowed for "" from 20 to 200. If the filer indicates that the securities were a gift, the “" and "" are optional elements that the filer may complete. Refer to this document for information on the updated fields for 144 form types. The “Form 144 XML Technical Specification” will be available on the SEC's Public Website (https://www.sec.gov/info/edgar/tech-specs).

  • Electronic Form 144 Now Available

    The EDGAR system is now ready to accept electronic Form 144 filings pursuant to recent SEC amendments that require certain Forms 144 be filed electronically with the SEC. Filers have approximately six (6) months from September 2022 to transition to electronic filing of Form 144. We will announce the exact compliance date for electronic filing of Form 144 after Federal Register publication of the relevant release, anticipated to occur in the coming weeks.     On September 19, 2022, EDGAR Release 22.3 will introduce the following changes: In Release No. 34-95148, the Commission adopted amendments to require institutional investment managers to file confidential treatment requests for filings made under section 13(f) of the Securities Exchange Act of 1934 electronically on EDGAR. EDGAR was updated to add the following new form types to EDGAR Online Forms: 13F-CTR: Form 13F Confidential Treatment Request 13F-CTR/A: Amendment to a Form 13F Confidential Treatment Request (including a de novo request, if any) The new form types are accessible by selecting the "File Form 13F Confidential Treatment Request (Form 13F-CTR)" link on the EDGAR Filing Website. Additionally, filers may construct XML submissions for these form types by following the "EDGAR Form 13F XML Technical Specification" document available on the SEC's Public Website (https://www.sec.gov/info/edgar/tech-specs). See Chapter 3 (Index to Forms), Chapter 5 (Constructing Attached Documents and Document Types), Chapter 7 (Preparing and Transmitting EDGARLink Online Submissions), Chapter 8 (Preparing and Transmitting Online Submissions), Appendix A (Messages Reported by EDGAR), and Appendix E (Automated Conformance Rules for EDGAR Data Fields) of the EDGAR Filer Manual, Volume II: "EDGAR Filing." In Release No. 34-95148, the Commission also adopted amendments to require the electronic submission of applications for orders under the Investment Advisers Act of 1940 on EDGAR. Applicants should submit applications under the following submission types, as applicable: 40-APP, 40-APP/A, 40-OIP, 40-OIP/A, 40-6B, 40-6B/A. In Release 33-11070, the Commission adopted rule and form amendments to require electronic filing of Form 144 on EDGAR. Form 144 may only be filed using the new online version of the form available on the EDGAR OnlineForms Management Website or constructed by filers according to the new "EDGAR Form 144 XML Technical Specification" document available on the SEC's Public Website (https://www.sec.gov/info/edgar/tech-specs). The submission types 144 and 144/A will be accessible on the EDGAR OnlineForms Website by selecting the "File Form 144" link under their respective names (144 and 144/A).  Instructions to file the filer-constructed XML version are included in Chapter 7 (Preparing and Transmitting EDGARLink Online Submission) and Chapter 8 (Preparing and Transmitting Online Submissions) of the EDGAR Filer Manual, Volume II: "EDGAR Filing." In Release 33-11047, the Commission adopted technical amendments to various rules and forms, including amendments to Form N-MFP and Form N-CEN to clarify instructions and correct typographical errors. Conforming text changes were made to the style sheets for Form N-MFP and Form N-CEN and the online application for Form N-CEN. See Chapter 8 (Preparing and Transmitting Online Submissions) of the EDGAR Filer Manual, Volume II: "EDGAR Filing." On August 15, 2022, EDGAR Release 22.2.2 introduced the following change: EDGAR was updated to allow the use of srt/2022q3 and us-gaap/2022q3 as supplements to srt/2022 and us-gaap/2022.
