  • Compliance with EDGAR Next Now Required to File on EDGAR

    Compliance with EDGAR Next—the Securities and Exchange Commission’s security, access, and account management improvements to its Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system—is now required to file on EDGAR. To be in compliance, filers must be enrolled in EDGAR Next or have been granted access to EDGAR on or after March 24, 2025. As of today, under EDGAR Next, Access to all three EDGAR filing websites (EDGAR Filer Management, EDGAR Online Forms and EDGAR Filing) requires presentation of Login.gov individual account credentials and completion of multifactor authentication. To file and take actions on the filer’s EDGAR account, individuals must additionally have permissions for the filer as a user or account administrator. The CIK and CCC remain codes required to file on EDGAR. Legacy EDGAR passwords and PMACs have been discontinued. Optional Application Programming Interfaces (APIs) are available to filers for machine-to-machine interaction with EDGAR. Filers that have not yet enrolled in EDGAR Next or been granted access to EDGAR on or after March 24, 2025 must enroll to be able to file on EDGAR. Enrollment remains open until December 19, 2025. “EDGAR Next modernizes EDGAR access and account management and improves the security of the system for filers and the Commission.   • One Week Until EDGAR Next Compliance Required to File

    On Monday, September 15, 2025, to continue filing on EDGAR uninterrupted, filers must be enrolled in EDGAR Next or have been granted access on Form ID on or after March 24, 2025. Filers that have not enrolled or obtained access on Form ID should enroll now! For tips on enrollment, consult the EDGAR July 28, 2025 announcement and the enrollment guidance linked on the EDGAR Next page on SEC.gov. A filer that plans to enroll after September 15, 2025 and prior to the enrollment deadline of December 19, 2025 should ensure it has a current CCC and passphrase to enroll. A filer can reset the CCC or passphrase to ensure it is current by requesting a code be sent to the EDGAR point of contact email address (“EDGAR POC email”). See How Do I Reset the Passphrase and CCC to Enroll (And Avoid the Need to File Form ID). If a filer cannot access its EDGAR POC email, it can update that email until September 12, 2025. As of September 12, 2025, at 10:00pm, filers will be unable to update their EDGAR POC emails. Thus, as of September 15, 2025, if a filer’s CCC and/or passphrase are not current and the filer cannot access the EDGAR POC email, the filer will be unable to reset the CCC and/or passphrase and must submit Form ID to regain access to its EDGAR account. Filers that have enrolled or obtained access on Form ID on or after March 24, 2025 should take these additional actions to ensure a smooth filing experience: (1) Ask the filer’s account administrators to log into the dashboard of the EDGAR Filer Management website and check that filers’ accounts are set up, including, if they choose, by adding individuals who will take actions for the filer and delegating authority to filing agents; and (2) Remind individuals who will take actions on the filer’s behalf on EDGAR to obtain individual account credentials from Login.gov.   • EDGAR Release 25.2.2

    On September 15, 2025, EDGAR Release 25.2.2 will introduce the following changes: Pursuant to EDGAR Filer Access and Account Management, Release No. 33-11313 (“EDGAR Next”) (adopted September 27, 2024): Individual account credentials from Login.gov will be required to access the EDGAR Filing and Online Forms websites, instead of the filer’s CIK and password as was previously required; Role-based filing permissions will be validated for the individual submitting the filing, instead of filing permissions being checked at the entity level as was previously required; and In order to make EDGAR submissions, filers must have enrolled in EDGAR Next or had their Form ID application for EDGAR access granted by SEC staff on or after March 24, 2025. EDGAR Release 25.2.2 will reflect all functionality available in the Beta environment.     In one month, on September 15, 2025, compliance with the EDGAR Next changes to EDGAR filer access and account management is required to continue to file on EDGAR uninterrupted. At a minimum, unenrolled filers should ensure NOW that they have a current CCC and passphrase which are required to enroll, as well as access to their EDGAR POC email box (in case the CCC and passphrase must be reset or confirmed as current). Unenrolled filers cannot change their EDGAR POC email after 10 p.m. September 12, 2025. Filers should further ensure that individuals who will take actions for the filer on EDGAR obtain individual account credentials from Login.gov. Account administrators for the filer should ensure that the filer’s account is set up on the dashboard of the EDGAR Filer Management website, and, if relevant, among other things, account administrators should invite individuals who will take actions for the filer and delegate authority to filing agents.     On August 4, 2025, EDGAR Release 25.2.1.1 will introduce the following changes: EDGAR Filing Website Updates for Release 25.2.1.1 Form SDR was deployed to EDGAR in 2015, but as the Commission has published a No-Action Statement that applies through Nov 5, 2029 for all Form SDR submission types, the ability to submit submission types SDR, SDR/A, SDR-A, SDR-W, SDR-CCO and SDR-CCO/A has been temporarily disabled in EDGAR Filing website, EDGARLink Online and for filer constructed submissions.  EDGAR will be updated to introduce a new validation to alert filers of errors related to their reporting of previously paid offerings. The validation will supplement an existing rule that ensures <Total Fees Previously Paid> should equal the sum of <Amount of Registration Fees> for all Table 1 lines that are identified as previously paid lines, less any offsets applied on prior filings for the registration.  EDGARLink Online Updates for Release 25.2.1.1 Form SDR was deployed to EDGAR in 2015, but as the Commission has published a No-Action Statement that applies through Nov 5, 2029 for all Form SDR submission types, the ability to submit submission types SDR, SDR/A, SDR-A, SDR-W, SDR-CCO and SDR-CCO/A has been temporarily disabled in EDGAR Filing website, EDGARLink Online and for filer constructed submissions. Fee Exhibit Preparation Tool (FEPT) for Release 25.2.1.1 When using the Fee Exhibit Preparation Tool, filers will now be required to include a “Not Applicable” tag for any omitted structured Filing Fee Exhibit Table if a fee-based EDGAR submission includes a structured Filing Fee exhibit attachment. This “Not Applicable” tag is optional for filer constructed submissions.  Filers filing submission types POS AM, N-2 POSASR, POSASR, 424B1, 424B2, 424B3, 424B4, 424B5, 424B7 and 424B8 will now be able to save a Narrative Disclosure without including a footnote (the footnote is generated from the text entered in the “Additional Narrative Disclosure” box).  If you have any questions, please contact Filer Support at (202) 551-8900 (Option 3).

    It’s easy to enroll in EDGAR Next and avoid a potential delay in filing. Follow these useful tips and complete enrollment now! Remember that all EDGAR filers must enroll in EDGAR Next prior to the compliance date of September 15, 2025, to avoid interruption in filing. While enrollment will remain open through December 19, 2025, after September 15, 2025, filers who have not enrolled (or been granted access on Form ID on or after March 24, 2025) will be unable to file until they enroll. Tip #1—You don’t have to submit Form ID. Take advantage of the straightforward enrollment process. Follow the How Do I Enroll in EDGAR Next guidance on SEC.gov or watch the Enrolling in EDGAR Next video on the SEC’s YouTube channel. Tip #2—You don’t need to present SEC staff with a notarized document or a power of attorney to enroll. Enrollment does not require these documents.   • Keep Filing—Enroll in EDGAR Next Now

    EDGAR filers must be in compliance with the SEC’s EDGAR Filer Access and Account Management rule and form amendments—known as EDGAR Next—as of September 15, 2025 to keep filing uninterrupted on EDGAR. To comply with EDGAR Next, filers must be enrolled (or granted access on Form ID on or after March 24, 2025), and they must authorize individuals to act on their behalf on EDGAR. Filers must further ensure that those individuals present Login.gov individual account credentials and complete multifactor authentication to access EDGAR.  Enroll in EDGAR Next now! Enrollment is a streamlined process for filers to transition to EDGAR Next that does not require presentation of a power of attorney to SEC staff or notarization of documents.   SEC staff encourages filers to enroll rather than submit a Form ID for lost access to EDGAR.
