  • EDGAR Release 24.1

    On March 18, 2024, EDGAR Release 24.1 will introduce the following changes: Chapter 6 of the EDGAR Filer Manual, Interactive Data, will be revised to remove technical and instructional details of XBRL formatting and validation. The information to be removed from Chapter 6 consists of technical specifications and guidance that filers will be able to consult in a new EDGAR XBRL Guide on SEC.gov. The revised Chapter 6 will present XBRL content in a concise fashion and will continue to complement Chapter 3, Index to Forms, by identifying different XBRL formatted documents associated with relevant EDGAR form and submission types. The revised Chapter 6 will also make clear that Interactive Data submissions in EDGAR use the Extensible Business Reporting Language (“XBRL”) information model and explain the use of taxonomies and instances which comprise this model. Guide available at https://www.sec.gov/files/edgar/xbrl-guide.pdf. EDGAR will allow filers to file submission form types 11-K, 11-KT, 11-K/A, and 11-KT/A in Inline XBRL format. Filers will be able to file submission form types 17AD-27 and  17AD-27/A in an Inline XBRL format that includes the data elements described in Rule 17Ad-27(b)(1) through (5). These form types will allow the filer to request confidential treatment on sections of the document that the filer does not want to be publicly disseminated. EDGAR will accept the 2024 versions of the following taxonomies: US-GAAP,  SRT (published by FASB) CEF, COUNTRY, CURRENCY, DEI, ECD, EXCH, FFD, FND, NAICS, OEF, RXP, SIC, SNJ, SRO, STPR, VIP (published by SEC) See https://www.sec.gov/edgar/information-for-filers/standard-taxonomies for a complete list of supported standard taxonomies. EDGAR will accept validations based on FASB’s 2024 XBRL US Data Quality Committee Rules Taxonomy (DQCRT). References to submission types F-SR and F-SR/A, Exhibit 26 of Form 10-K and 10-Q, and the SHR taxonomy were removed from the EDGAR Filer Manual as a result of the United States Court of Appeals for the Fifth Circuit ruling[1] vacating the Share Repurchase Disclosure Modernization rule. Further, the SHR taxonomy has been removed from EDGAR. The EDGAR Filer Manual will be revised to include references to SC 13D, SC 13G, SC 13D/A, SC 13G/A, SCHEDULE 13D, SCHEDULE 13D/A, SCHEDULE 13G, and SCHEDULE 13G/A as submission types that will have a “Filing Date” identical to the EDGAR “Received Date” even if received after 5:30 p.m. Eastern Time, and will be disseminated until 10:00 p.m. Eastern Time. See EFM Vol. II, Chapter 3. The EDGAR Filer Manual reference to 8-K and 1-U Items will be updated in Table 7-1: Information Fields Available on Main Page.” See EFM Vol. II, Chapter 7. On February 5, 2024, EDGAR Release 24.0.2 introduced the following changes: The filing “cut-off” times were extended for Schedule 13D, Schedule 13G, and corresponding amendments, from 5:30 p.m. to 10:00 p.m. Eastern Time. These filings will have a “Filing Date” identical to the EDGAR “Received Date” even if received after 5:30 p.m. Eastern Time, and will be disseminated until 10:00 p.m. Eastern Time. On January 29, 2024, EDGAR Release 24.0.1 introduced the following change: The check box labeled “Attach Inline XBRL Fee Tagging Exhibit” on the EDGARLink Online “Documents” tab has been renamed to “Attach Inline XBRL Filing Fee Exhibit” for the 72 fee bearing submission types impacted. See EFM Vol. II, Chapters 4 and 7. Submission type SC 13E1 has been updated to remove the “Is Fee Table/Exhibit included?” check box from the “Main” tab of the EDGARLink Online interface.   • Reminder: Confirm Accurate Internal Links in EDGAR Filings (updated announcement)

    Filers are reminded to confirm that internal links in their EDGAR filings are working properly prior to submitting the filings on EDGAR. In addition, filers should check whether existing filings have broken internal links and fix any such links. It is permissible for electronic filers to include links to different sections within a single HTML document, for example, in exhibits filed pursuant to Item 601 of Regulation S–K. Filers should be aware, however, that incorrect internal links will result in errors surrounding those links when the filings are disseminated.

  • New How Do I Prepare an Inline XBRL Filing Fee Exhibit

    New How Do I guidance regarding how to prepare and submit Inline XBRL filing fee exhibits (EX-FILING FEES) on EDGAR, in accord with the SEC’s Filing Fee Disclosure and Payment Methods Modernization rule, adopted October 13, 2021, is now available. Filers using the Fee Exhibit Preparation Tool (FEPT) to prepare an Inline XBRL filing fee exhibit as part of EDGAR Link Online (ELO) should use the EDGAR Filing Fee Interface Guide (PDF, 1.2 mb). Filers using XBRL should use the EDGAR XBRL Guide (Filing Fee Extract) (PDF, 0.5 mb). Filers are reminded of the following important dates: January 31, 2024—Filers permitted to voluntarily file fee data in Inline XBRL format. July 31, 2024—Large Accelerated Filers required to submit fee data in Inline XBRL format. July 31, 2025—Compliance by all filers required, including certain investment companies that file registrations on Forms N-2 and N-14.

  • EDGAR Release 24.0.2

    On February 5, 2024, EDGAR Release 24.0.2 will introduce the following changes: The filing "cut-off" times will be extended for Schedule 13D, Schedule 13G, and corresponding amendments, from 5:30 p.m. to 10:00 p.m. Eastern Time. These filings will have a "Filing Date" identical to the EDGAR "Received Date" even if received after 5:30 p.m. Eastern Time, and will be disseminated until 10:00 p.m. Eastern Time. The "Form N-MFP3 Technical Specifications" document will be updated to correct the maximum occurrences of "scheduleOfPortfolioSecuritiesInfo" in Part C to 99,999 instead of the current 9,999. Additionally, the Form N-MFP3 schema will be updated to correct the maximum occurrences of "dispositionOfPortfolioSecurities" in Part D to 1 instead of 9,999. The "Form N-PX Technical Specifications" package will be updated to correct the maximum occurrences of "proxyTable" to 500,000 instead of 250,000; State and Country codes have been added; and State and Country fields have been changed to one "stateOrCountry" field.

  • SEC Staff to Host Call for EDGAR Filing Fee Beta Participants to Provide Feedback

    SEC staff will host a telephone call during February 2024 for EDGAR Filing Fee Beta participants to provide feedback about their experiences testing in the EDGAR Filing Fee Beta. To be included in the call and to submit questions, participants should email FilingFeeBetaFeedback@sec.gov no later than February 14, 2024. SEC staff will thereafter provide those participants the date and time of the call and dial-in information. The EDGAR Filing Fee Beta was available to filers with a valid EDGAR CIK from October 4 to December 22, 2023, and included EDGAR changes related to the technical and structured data aspects of the Filing Fee Disclosure and Payment Methods Modernization rule. Filers are reminded that the voluntary compliance period for the Filing Fee Modernization rule will begin January 31, 2024. At that time, filers will be able to submit fee bearing filings to EDGAR with either structured fee exhibits or unstructured fee exhibits—until mandatory compliance begins. Mandatory compliance with structuring requirements for large accelerated filers begins July 31, 2024. Mandatory compliance with structuring requirements for all other filers begins July 31, 2025.

  • EDGAR Release 23.4

    On December 18, 2023, EDGAR Release 23.4 will introduce the following changes: EDGAR will be updated to enable filers to comply with certain cybersecurity disclosure requirements. Item 1.05 will be added to the following forms to allow registrants to disclose information about a cybersecurity incident that is material to the registrant: Forms 8-K, 8-K12B, 8-K12G3, 8-K15D5, 8-K/A, 8-K12B/A, 8-K12G3/A, and 8-K15D/A. See Release 33-11216, Cybersecurity Risk Management, Strategy, Governance, and Incident Disclosure, adopted July 26, 2023. EDGAR will be updated to support a new taxonomy - FND - with 2023 and 2022 versions. This will allow filers to comply with the “Investment Company Names” rule amendments (see Release 33-11238A, adopted September 20, 2023). As part of this Release, EDGAR will also be updated to accept Inline XBRL submissions on Forms N-8B-2 and S-6. Refer to Volume II of the EDGAR Filer Manual for additional details. EDGAR will be updated to allow filers to voluntarily submit submission types Schedule 13D and Schedule 13D/A online in a structured XML format until December 18, 2024, on which date compliance with the structured data requirement for Schedules 13D and 13G will be required. NOTE: Filers will be able to continue submitting Schedule 13D and Schedule 13D/A in HTML or ASCII (text) format on the EDGAR Filings (EDGAR Link Online) website or as a Filer Constructed submission prior to December 18, 2024, when compliance with the structured data requirement for Schedules 13D and 13G will be required. EDGAR will be updated to allow filers to voluntarily submit submission types Schedule 13G and Schedule 13G/A online in a structured XML format until December 18, 2024, on which date compliance with the structured data requirement for Schedules 13D and 13G will be required. Submission types Schedule 13G and Schedule 13G/A may be accessed by selecting the Schedule 13G link from the left navigation pane on the EDGAR Online Forms Management Website, under “Make a Filing.” Submission types Schedule 13G and Schedule 13G/A may be filed using the new online version available on the EDGAR Online Forms Management Website or constructed by filers according to the new "EDGAR Form Schedule 13G XML Technical Specification" document available on https://www.sec.gov/edgar/filerinformation/current-edgar-technical-specifications. NOTE: Filers will be able to continue submitting Schedule 13G and Schedule 13G/A in HTML or ASCII (text) format on the EDGAR Filings (EDGAR Link Online) website or as Filer Constructed submission prior to December 18, 2024, when compliance with the structured data requirement for Schedules 13D and 13G will be required. EDGAR will be updated to remove N-LIQUID and N-LIQUID/A from the EDGARLink Online Form Submission Types list. Filers will be unable to submit N-LIQUID and N-LIQUID/A as these versions of the form are no longer in effect. Filers should instead submit Form N-RN. EDGAR will be updated to remove links to the invalid ASCII/HTML versions of Form 24F-2NT and 24F-2NT/A from the EDGARLink Online Form Submission Types list. Beginning February 1, 2022, filers have been required to submit submission types 24F-2NT and 24F-2NT/A in a structured XML format. Submission types 24F-2NT and 24F-2NT/A may be accessed by selecting the 24F-2 link on the EDGAR Filing Website, under “Online Forms.” EDGAR will be updated to remove F-4EF and F-4 POS from the EDGARLink Online Form Submission Types list. Filers will be unable to submit F-4EF and F-4 POS submissions. NOTE: F-4EF/A has been previously rescinded. On January 29, 2024, EDGAR Release 24.0.1 will introduce the following change: On October 13, 2021, the Commission adopted amendments to modernize filing fee disclosure and payment methods (Release 33-10997). Beginning January 29, 2024, filers can voluntarily choose to comply with the rule's requirements to disclose filing fee calculation table(s) and related information in the EX-FILING FEES exhibit in Inline XBRL format for 72 fee-bearing submission types. The Inline XBRL filing fee requirements will be phased-in over a period of approximately 18 months as follows: January 29, 2024 — Filers voluntarily file fee data in Inline XBRL format (approximately six months prior to July 31, 2024) July 31, 2024 — Large Accelerated Filers required to submit fee data in Inline XBRL format July 31, 2025 — Compliance by all filers required, including certain investment companies that file registrations on Forms N-2 and N-14 Filers have the option to construct structured filing fee information within EDGAR, using the Fee Exhibit Preparation Tool (FEPT). FEPT includes features such as prompts, explanations, and automated calculations to produce a filing fee exhibit (EX-FILING FEES) in submission-ready format. Filers using FEPT to construct the EX-FILING FEES in EDGAR generally will receive error and warning messages before they submit a filing. Filers that construct this structured information outside of FEPT, however, will receive error and warning messages after they submit filings. Initially, validation failures caused by incorrect or incomplete structured filing fee-related information generally will result in a warning to filers and a flag for staff follow up, but EDGAR will accept the filing. However, approximately three months after all filers are required to comply with the structuring requirement, the Commission will suspend filings rather than issue warnings for incorrect or incomplete structured filing fee-related information. Commission staff will provide advance notice of the specific date of the change to filers. Instructions for the filing fee exhibit are included in Chapter 4 (Filing Fee Information) and Chapter 7 (Preparing and Transmitting EDGARLink Online Submissions) of the "EDGAR Filer Manual, Volume II: EDGAR Filing." On February 5, 2024, EDGAR Release 24.0.2 will introduce the following change: The filing “cut-off” times will be extended for Schedule 13D, Schedule 13G, and corresponding amendments, from 5:30 p.m. to 10:00 p.m. Eastern time.   • EDGAR Filing Fee Beta Concludes December 22, 2023

    The EDGAR Filing Fee Beta that has allowed the public to test EDGAR changes related to the technical and structured data aspects of the Filing Fee Disclosure and Payment Methods Modernization rule will close on Friday, December 22, 2023. Participants should plan to complete testing and provide feedback through email to FilingFeeBetaFeedback@sec.gov prior to the conclusion of the Filing Fee Beta. SEC staff do not plan to offer an additional EDGAR Filing Fee Beta system ahead of the upcoming compliance dates. We are assessing interest in having a feedback call in January 2024 with Beta participants after the close of Filing Fee Beta. The purpose of this call would be for SEC Staff to listen to participants’ experience and feedback on the Filing Fee Beta.   • Now Available: 2024 Peak Filing Volume Dates for EDGAR Filings

    The SEC expects to receive the highest volume of EDGAR filings in calendar year 2024 on the dates listed on the EDGAR Calendar webpage. To accommodate potentially longer processing times on high filing volume dates, filers should submit any test or applicable live filings as early as possible prior to the due date of a filing.
